These Terms of Service ("Terms") govern the use of the Slingit software, platform, and related services (collectively, the "Services") provided by VividPath, Inc., a Georgia corporation with its principal place of business in Sandy Springs, GA, USA ("Company," "we," or "our").
By accessing or using the Services, you ("FFL," "you," or "your") agree to these Terms.
1. Definitions
* "Authorized Users" means employees, contractors, agents, or representatives of the FFL (including across all of its locations) who are permitted by the FFL to access and use the Services under its account(s).* "Customer Data" means data you or your Authorized Users input into the Services.
2. Eligibility
* You must be a valid Federal Firearms Licensee ("FFL") authorized under applicable law.* By entering into these Terms, you represent and warrant that you have authority to bind the FFL and all of its Authorized Users and locations.
3. License to Use Services
* We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes.* The license extends to Authorized Users at all locations under your management.* You may not copy, modify, reverse engineer, or distribute the Services except as expressly permitted.
4. Authorized Users
* The FFL is fully responsible for ensuring that all Authorized Users comply with these Terms.* Any act or omission by an Authorized User shall be deemed the act or omission of the FFL.* The FFL must ensure Authorized Users have appropriate training and authority to use the Services in compliance with law.
5. Individual User Acknowledgment
* When creating an account, each Authorized User must click "I Agree" or otherwise acknowledge these Terms.* By doing so, each Authorized User agrees to comply with these Terms individually, in addition to the FFL's obligations as the contracting party.
6. Data Use & Ownership
* Customer Data. Customer Data remains under your control, but you grant Company a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, copy, store, modify, analyze, distribute, and create derivative works from Customer Data for: (i) operating and providing the Services; (ii) training and improving AI models; (iii) developing new products and features; and (iv) research, benchmarking, and analytics.* Derivative Works & Models. All derivative data, models, improvements, and intellectual property created by Company from or using Customer Data are and shall remain the sole property of Company. You have no rights, title, or interest in such derivatives.* No Restriction. Nothing in these Terms restricts Company's right to use aggregated, anonymized, or derivative forms of Customer Data for any lawful purpose, including commercial purposes.
7. Intellectual Property
* All intellectual property in and to the Services, including software, algorithms, models, documentation, training data, and improvements, are and remain the sole property of Company and its licensors.* You acquire no ownership rights in the Services or any related IP.* Any feedback, suggestions, or improvements you provide become Company's sole property, without compensation or restriction.
8. Compliance & Responsibility
* The FFL is solely responsible for ensuring compliance with ATF regulations, NICS checks, state laws, and any other applicable firearms laws when using the Services.* Company does not assume responsibility for your compliance obligations. The Services are tools; final responsibility for legal compliance rests with you.
9. Confidentiality
* You may be exposed to proprietary information of Company, including software design, algorithms, and business processes.* You agree not to disclose, copy, or use such information except as required for authorized use of the Services.
10. Fees & Payment
* Fees for use of the Services are as set forth in your subscription or order form.* Company may suspend or terminate access immediately for non-payment.
11. Term & Termination
* These Terms remain in effect until terminated.* Company may terminate your access at any time, with or without cause, and without liability.* Upon termination, you and all Authorized Users must cease all use of the Services.
12. Disclaimers
* The Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.* Company does not warrant that the Services will be error-free, uninterrupted, or suitable for any specific outcome.* Company is not responsible for any decisions, valuations, or compliance outcomes based on use of the Services.
13. Limitation of Liability
* To the maximum extent permitted by law, Company is not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or regulatory penalties.* Company's total liability for any claim shall not exceed the lesser of (i) $500 or (ii) the fees paid by you in the six (6) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising from or relating to:
* Your violation of these Terms;* Your or your Authorized Users' use of the Services in violation of law; or* Any firearms-related transactions, sales, purchases, transfers, or regulatory actions connected with your business.
15. Governing Law & Dispute Resolution
* These Terms are governed by the laws of the State of Georgia, USA, without regard to conflicts-of-laws principles.* Any disputes shall be resolved exclusively by binding arbitration in Sandy Springs, Georgia, under the rules of the American Arbitration Association.* You waive any right to a jury trial or to participate in a class action.
16. Restrictions on Use
You and your Authorized Users shall not, directly or indirectly:
1. Copy, reproduce, modify, translate, adapt, or create derivative works based on the Services or any portion thereof;2. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying structure of the Services, AI models, or any related systems;3. Access the Services for the purpose of building or assisting in building a competing product or service;4. Circumvent, disable, or interfere with any security, access-control, or usage-limiting features of the Services;5. Use any automated system, bot, scraper, or similar technology to access or extract data from the Services;6. Remove or alter any proprietary notices, trademarks, or disclaimers from the Services; or7. Allow or permit any third party to do any of the foregoing.
Any violation of this Section constitutes a material breach of these Terms and may result in immediate termination of access to the Services, in addition to any other remedies available to Company under law or equity.
17. Changes to Terms
We may modify these Terms at any time, effective upon posting the updated Terms. Your continued use of the Services constitutes acceptance of the changes.
18. Entire Agreement
These Terms constitute the entire agreement between you and Company regarding the Services and supersede all prior agreements.
By clicking "I Agree," signing an order form, or otherwise using the Slingit Services, you acknowledge that (i) you are authorized to bind the FFL and all of its Authorized Users and locations, and (ii) you and all Authorized Users agree to comply with these Terms.`
